1. Acceptance of Terms
By accessing or using the Erdos Logistics platform ("Service"), operated by Ramsey Theory Group, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including individual users and business entities ("you" or "your").
2. Description of Service
Erdos Logistics is a software platform that provides logistics management, supply chain tracking, sales operations, and accounting analytics tools designed for the furniture industry. The Service incorporates machine learning technology to deliver predictive insights and operational optimization.
The Service includes, but is not limited to:
- Supply & Inventory Management tools
- Sales Operations management
- Accounting & Analytics dashboards
- Machine learning-powered insights and predictions
- API access and third-party integrations
3. Account Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Subscription & Payment
Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We reserve the right to modify subscription fees upon 30 days' written notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
5. Permitted Use
You may use the Service solely for your internal business operations related to furniture logistics management. You agree not to:
- Sublicense, resell, or redistribute the Service to third parties
- Use the Service to develop a competing product or service
- Reverse engineer, decompile, or disassemble any part of the Service
- Attempt to gain unauthorized access to the Service or its related systems
- Use automated scripts to collect information from or interact with the Service
- Upload content that is unlawful, harmful, or infringes on third-party rights
6. Data Ownership & Usage
You retain all ownership rights in the data you upload to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process Your Data solely for the purpose of providing and improving the Service.
We may use anonymized and aggregated data derived from Your Data to improve our machine learning models and the Service generally. Such anonymized data will not identify you or any individual.
7. Machine Learning & Predictions
The Service includes machine learning features that generate predictions, recommendations, and analytical insights. These outputs are provided for informational purposes and should not be relied upon as the sole basis for business decisions.
We do not guarantee the accuracy, completeness, or reliability of any ML-generated output. You acknowledge that predictions are probabilistic in nature and actual results may differ materially.
8. Service Availability & Support
We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We provide technical support during business hours (Monday–Friday, 9:00 AM – 6:00 PM ET).
9. Intellectual Property
The Service, including all software, algorithms, machine learning models, designs, text, graphics, and other content, is owned by or licensed to Ramsey Theory Group, LLC and is protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use our trademarks, service marks, logos, or trade names without our prior written consent.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us for the Service during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service or violation of these Terms.
12. Termination
Either party may terminate the subscription upon 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. You may request export of Your Data within 30 days of termination.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Bergen County, New Jersey.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
